The technology company Bosch and India’s TSF Group — through subsidiaries Brakes India Private Limited (BIPL) and Wheels India Limited (WIL) — announced a 50:50 joint venture for commercial vehicle air systems, scheduled to commence operations by the end of 2026 pending regulatory approvals. The partnership will develop, manufacture, and distribute electronically controlled and software-driven modules for trucks, buses, and trailers. The transaction has been approved by the boards of Bosch Group, Bosch Limited, Brakes India and Wheels India. The new entity will be registered in Chennai.
Highlights
- 50:50 partnership between Bosch and TSF Group’s BIPL and WIL, with operations targeted to begin end of 2026 after regulatory approvals.
- Product scope covers electronically controlled and software-driven modules for air compression, air processing, air suspension, and air parking brakes.
- India sales will be handled by the joint venture; global supply chain outside China remains with the existing Bosch, Brakes India, and Wheels India entities.
- Registered office in Chennai, where TSF Group is headquartered.
Scope of the Joint Venture
The joint venture will focus on engineering, manufacturing, and sales of electronically controlled modules across four product areas: air compression, air processing, air suspension, and air parking brakes. The companies frame the partnership as a way to address e-enabled air systems for commercial vehicles, combining Bosch’s electronics and systems expertise with the TSF Group’s established positions in pneumatic braking and air suspension.
India sales will run through the joint venture itself. Global supply chain operations — with the exception of China — will continue under the existing Bosch, Brakes India, and Wheels India organizations rather than transferring to the new entity.
Executive Commentary
Markus Heyn, member of the board of management of Robert Bosch GmbH and chairman of Bosch Mobility, framed the deal around software content: “Software will make commercial vehicles even smarter, more modular, and more cost-efficient in the future. With our extensive electronics and systems expertise, we will jointly create an attractive range of high-performance compressed air systems. Bosch is thus expanding its comprehensive portfolio for trucks and strengthening its leading role in the commercial vehicle industry.”
Guruprasad Mudlapur, President of the Bosch Group in India and Managing Director of Bosch Limited, said: “At Bosch, we are continuously expanding our capabilities to solidify our global leadership in the commercial vehicle sector. This joint venture is a decisive step to shape the future of advanced air systems. By integrating premier engineering and manufacturing prowess, we are co-creating cost-effective, intelligent modules that will empower our customers globally to build more advanced commercial vehicles.”
Sriram Viji, Managing Director of Brakes India, positioned the venture against the broader e-mobility shift: “This milestone marks a step towards building a more integrated, system-level approach for OEMs in the commercial vehicle space. We bring our strengths as one of the leading suppliers of pneumatic braking systems. Through this joint venture, we will be able to offer air braking system parts for e-enabled future mobility to customers. We look forward to supporting the industry’s shift towards more advanced, electronically controlled, and software-driven systems.” Brakes India has separately been pursuing JV-led expansion in the light vehicle segment through its 2024 joint venture with ADVICS on Electronic Stability Control.
Srivats Ram, Chairman and Managing Director of Wheels India, pointed to the company’s air suspension track record: “Wheels India has been a pioneer in air suspension systems for buses in India for over three decades. Over this period, we have built strong relationships with both OEMs and end users through consistent product quality and service. We are pleased to collaborate with Bosch on this development initiative to advance electronic air suspension systems for the global customers.” The TSF Group previously showcased its combined commercial vehicle portfolio at IAA 2024, including Brakes India’s pneumatic braking systems and Wheels India’s commercial vehicle wheels.
Structure and Timing
Operations are scheduled to commence by the end of 2026, contingent on receiving all required regulatory approvals. The boards of Bosch Group, Bosch Limited, Brakes India, and Wheels India have already approved the transaction. The companies position the venture as a response to OEM demand for greater efficiency, safety, and automation in commercial vehicles.
