Brembo Acquires Öhlins: Expansion in Premium Suspension

Brembo has announced its acquisition of Öhlins Racing from Tenneco, expanding its footprint in the high-performance suspension market. The acquisition aims to strengthen Brembo’s position as a provider of integrated intelligent solutions for the automotive market, marking the largest acquisition in Brembo’s history. Founded in 1976, Öhlins Racing is recognized globally for its premium suspension technology and strong motorsport heritage.

The agreement between Brembo and Tenneco involves the acquisition of a 100% stake in Öhlins Racing, a renowned manufacturer of premium suspension systems for motorcycles and cars in the Original Equipment, Motorsport, and Aftermarket segments. Founded in 1976 and headquartered in Upplands Väsby, Sweden, Öhlins has a strong international footprint with production facilities and R&D centers in Sweden and Thailand, as well as distribution and testing branches in the United States, Germany, Thailand, and Sweden.

Matteo Tiraboschi, Brembo Executive Chairman, highlighted the importance of this acquisition: “Öhlins is a strong fit for Brembo. It is a world-renowned brand, with a solid business and an unrivaled reputation, both on the racetrack and the road.” This acquisition aligns with Brembo’s strategy to leverage synergies across key technologies, enhancing their offerings in the vehicle’s corner through integrated solutions.

Öhlins’ advanced suspension technology is widely known for its precision, performance, and innovation. The company supplies major motorsport championships, including MotoGP, Formula 1, and NASCAR. In 2024, Öhlins Racing is projected to close with a turnover of USD 144 million, with an expected adjusted EBITDA margin between 21% and 22%.

Jim Voss, CEO of Tenneco, commented, “We’re confident that Brembo is the right partner to take Öhlins Racing to the next level,” emphasizing that this sale aligns with Tenneco’s long-term vision of streamlining its business portfolio.

Tom Wittenschlaeger, CEO of Öhlins Racing, expressed enthusiasm about the deal, stating: “As we join forces with Brembo, we are excited to unlock new growth opportunities and leverage our respective strengths and assets to drive innovation.”

This acquisition is a significant step for Brembo, with the purchase price of USD 405 million being the largest acquisition in Brembo’s history. The acquisition is set to enhance Brembo’s capabilities in the two-wheeler market, which currently represents 13% of Brembo’s total revenues. Recent strategic investments by Brembo in the motorcycle and motor racing sector include the acquisition of SBS Friction in Denmark, J.Juan in Spain, and the opening of a new production site in Thailand.

The completion of this acquisition is subject to regulatory approvals and is expected to close in early 2025.
