Strengthening Electronics and Software Capabilities

The acquisition of Dietikon, Switzerland-based duagon strengthens Knorr-Bremse’s existing business in safety-related electronics and software. By adding duagon’s portfolio, Knorr-Bremse enhances its expertise in areas such as braking and entrance systems. This integration will complement the global operations of Knorr-Bremse specialists Selectron and KB Signaling.

Driving Digital Innovation and Synergies

The increasing digitalization of trains and rail networks presents a significant growth opportunity. The addition of duagon allows Knorr-Bremse to maximize profitability in the market for electronic, software-based solutions. For KB Signaling, this move provides a foundation for global expansion beyond its North American base.

Integrating duagon’s embedded electronics will create more uniform and scalable electronics platforms across numerous product groups. This is expected to improve cost efficiency in research and development while fostering digital innovations like remote monitoring and diagnostics for optimized rail operations.

Market Impact and Financial Outlook

This acquisition reinforces Knorr-Bremse’s focus on high-growth market segments for safety-critical electronics, communications, and software solutions in rail transport. duagon’s products, which are integrated into train on-board architecture and trackside signaling technology, are crucial for safely controlling train subsystems and processing vital information.

duagon employs approximately 750 people and has demonstrated a compound annual growth rate of 15% between 2022 and 2025. Knorr-Bremse projects that duagon will generate revenues of around 175 million euros for 2026 with an operating EBIT margin of approximately 16%. The company also anticipates EBIT-effective run-rate synergies of 5-10 million euros by 2028.

The transaction between Knorr-Bremse and the former owner, a private equity fund advised by Deutsche Beteiligungs AG (DBAG), is subject to customary regulatory approvals.
